This Service Agreement (“Agreement”) is entered into between LOYAL NOMAD INC. (“Company,” “we,” “us,” or “our”) and the customer or user (“you” or “your”) who uses our services.

This Agreement governs the use of our transportation and logistics services. Participation in our SMS messaging program is optional and requires separate, express consent. Acceptance of this Agreement does not constitute consent to receive SMS messages.

Scope of Agreement

This Agreement governs your use of:

  • Freight transportation and logistics services;
  • Our website at https://loyalnomad.com;
  • Optional SMS notifications and communications; and
  • Customer support services.

By using our transportation or logistics services, you agree to the applicable provisions of this Agreement. If you do not agree, please discontinue using our services.

Use of our transportation or logistics services does not automatically enroll you in our SMS messaging program.

Services Provided

LOYAL NOMAD INC. provides freight transportation and logistics services. We strive to provide reliable and timely transportation services, subject to operational conditions, carrier availability, weather, traffic, government actions, and applicable laws and regulations.

2.1 Service Availability

  • Service availability may vary by location and shipment requirements.
  • Uninterrupted or continuously available service is not guaranteed.
  • Pickup and delivery schedules may be affected by traffic, weather, mechanical issues, carrier schedules, government actions, and other circumstances outside our reasonable control.

2.2 Service Limitations

  • All shipments must comply with applicable federal, state, and local laws and regulations.
  • We may refuse or cancel any shipment that is unlawful, unsafe, improperly documented, or outside the scope of our available services.
  • Estimated pickup and delivery times are not guarantees unless expressly agreed to in writing.

Customer Responsibilities

You agree to:

  • Provide accurate and complete shipment information, including pickup and delivery addresses;
  • Provide accurate contact information;
  • Ensure that all goods are properly packaged, labeled, documented, and suitable for transportation;
  • Comply with all applicable legal, safety, and regulatory requirements;
  • Disclose any hazardous, restricted, fragile, or special-handling materials;
  • Pay all applicable fees and charges; and
  • Cooperate with reasonable requests necessary to complete transportation services.

You must not:

  • Misrepresent shipment details;
  • Use our services for illegal, fraudulent, or unauthorized activities;
  • Submit prohibited or undisclosed hazardous materials;
  • Interfere with or disrupt our operations; or
  • Provide contact information that you are not authorized to use.

Failure to comply with these requirements may result in service refusal, suspension, cancellation, additional charges, or legal action.

SMS Communication Program

LOYAL NOMAD INC. may offer an optional SMS messaging program for conversational and operational communications related to transportation and logistics services.

Participation in the SMS messaging program is voluntary. Consent to receive SMS messages is not a condition of purchasing or receiving any goods or services from LOYAL NOMAD INC.

4.1 Consent and Opt-In Process

Customers may opt in by entering their phone number in our online form and voluntarily selecting a separate SMS consent checkbox.

The SMS consent checkbox:

  • Is optional;
  • Is unchecked by default;
  • Is not required to submit the form;
  • Is not automatically selected;
  • Is separate from acceptance of this Agreement; and
  • Is not a condition of purchasing or receiving goods or services.
The consent checkbox states:
“By checking this optional box, I consent to receive conversational text messages from LOYAL NOMAD INC. regarding shipment updates, pickup and delivery information, account notifications, and customer support. Message frequency may vary. Message and data rates may apply. Reply STOP to opt out or HELP for assistance. Consent is not a condition of purchasing or receiving any goods or services. View our Privacy Policy and Terms & Conditions .”

Only individuals who voluntarily provide their phone number and affirmatively select the optional SMS consent checkbox will be enrolled through the online form.

4.2 Types of SMS Messages

SMS messages may include:

  • Load assignment information;
  • Shipment tracking and status updates;
  • Pickup and delivery information;
  • Delivery confirmations;
  • Scheduling and appointment information;
  • Weather, traffic, or operational delay notifications;
  • Account and service notifications; and
  • Customer support communications.

The SMS program described in this Agreement is intended for conversational and operational communications. Promotional or marketing messages are not included unless the recipient provides separate, express consent specifically authorizing such messages.

4.3 Message Frequency and Charges

  • Message frequency may vary depending on shipment activity and customer interactions.
  • Message and data rates may apply according to the recipient’s mobile carrier and service plan.
  • LOYAL NOMAD INC. is not responsible for charges imposed by a mobile carrier.
  • Delivery of SMS messages is subject to the availability and reliability of participating wireless carriers and networks.

4.4 Opt-Out Process

Recipients may opt out of SMS messages at any time by replying STOP to any message.

After an opt-out request is processed, we may send one final confirmation message stating that the recipient has been unsubscribed. No additional SMS messages will be sent unless the recipient subsequently provides new consent to opt in again.

Other commonly recognized opt-out keywords may also be processed where supported by the messaging provider.

Wireless carriers are not responsible for delayed or undelivered messages. SMS delivery may be affected by network availability, device compatibility, carrier restrictions, or other circumstances outside our control.

4.7 Protection of SMS Information

We do not sell, rent, or share SMS opt-in data, consent records, or phone numbers with third parties or affiliates for their marketing or promotional purposes.

SMS opt-in information is used only to provide communications authorized by the recipient and to operate and support our messaging program.

SMS consent is specific to LOYAL NOMAD INC. and is not transferred to another business for independent marketing purposes.

Recipients may withdraw their consent at any time by replying STOP.

Fees and Payments

5.1 Payment Terms

  • Applicable rates, fees, and charges will be communicated before service confirmation or included in the applicable service documentation.
  • Payments must be made in full using an approved payment method.
  • Approved payment methods may include credit cards, debit cards, bank transfers, or other authorized methods.
  • Customers are responsible for providing accurate billing information.

5.2 Late Payments and Additional Charges

  • Late payments may result in additional fees, service suspension, or service cancellation where permitted by law.
  • Additional charges may apply when shipment information is inaccurate or when special handling, detention, redelivery, storage, or other additional services are required.
  • We reserve the right to pursue lawful collection methods for unpaid balances.

Liability and Disclaimers

6.1 Limitation of Liability

To the fullest extent permitted by applicable law, LOYAL NOMAD INC. will not be responsible for:

  • Delays caused by weather, traffic, accidents, mechanical failures, government actions, regulatory restrictions, or other events outside our reasonable control;
  • Losses resulting from inaccurate or incomplete information provided by the customer;
  • Damage resulting from inadequate packaging, labeling, or documentation;
  • Interruptions or failures involving third-party carriers, communication providers, or technology services; or
  • Consequential, indirect, special, or incidental damages.

Nothing in this Agreement excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

6.2 Service Disclaimer

Our services are provided on an “as available” basis. To the fullest extent permitted by applicable law, we do not guarantee:

  • Pickup or delivery on a specific date or at a specific time unless expressly agreed to in writing;
  • That services will always be uninterrupted or error-free;
  • Continuous availability of our website, SMS services, or communication systems; or
  • Delivery of every SMS message, as delivery depends on third-party wireless carriers and networks.

Privacy and Data Protection

We collect, use, and protect personal information in accordance with our Privacy Policy .

We do not sell or share personal information with third parties for their independent marketing purposes except as disclosed in our Privacy Policy or as required by law.

SMS opt-in data, consent records, and phone numbers will not be shared with third parties or affiliates for marketing or promotional purposes.

We may use service providers to operate our website, transportation services, customer support systems, and SMS messaging program. Such providers may access information only as reasonably necessary to perform services on our behalf and are not authorized to use SMS consent information for their own marketing purposes.

Dispute Resolution

8.1 Governing Law

This Agreement is governed by the laws of the State of Ohio, United States, without regard to conflict-of-law principles.

8.2 Informal Dispute Resolution

Before beginning formal legal proceedings, the parties agree to make a reasonable effort to resolve disputes through direct communication and good-faith negotiation.

8.3 Arbitration

Where permitted by applicable law and agreed upon by the parties, unresolved disputes may be submitted to binding arbitration in Ohio.

8.4 Class Actions

To the extent permitted by applicable law, disputes must be brought on an individual basis and not as part of a class, consolidated, or representative action.

Nothing in this section limits any rights that cannot lawfully be waived.

Changes to This Agreement

We may update this Agreement periodically to reflect changes to our services, business practices, or legal requirements.

When changes are made, the revised Agreement will be posted on our website with an updated “Last Updated” date. Changes will become effective when posted unless another effective date is stated.

Changes to this Agreement will not be treated as new consent to receive SMS messages. Any SMS consent will continue to be governed by the consent actually provided by the recipient and applicable law.

Termination

We may suspend or terminate services if:

  • A customer violates this Agreement;
  • A shipment is unlawful, unsafe, or improperly documented;
  • Required payments are not made;
  • Continued service would create a legal, regulatory, safety, or security risk; or
  • Termination is otherwise permitted by applicable law.

Termination of transportation or logistics services does not affect obligations that arose before termination.

Recipients may withdraw SMS consent independently at any time by replying STOP.
